American Capital Announces Pricing of $350 Million of Senior Notes Due 2018

BETHESDA, Md., Sept. 17, 2013 /PRNewswire/ -- American Capital, Ltd. (Nasdaq: ACAS) ("American Capital" or the "Company") announced today the pricing of its private offering of $350 million aggregate principal amount of its 6.500% Senior Notes due September 15, 2018, at an offering price of 100.000% (the "Notes").  The sale of the Notes is expected to close on September 20, 2013, subject to customary closing conditions.  American Capital intends to use the net proceeds of this offering for working capital and general corporate purposes, including to make portfolio investments. 

American Capital is making the offering pursuant to an exemption under the Securities Act of 1933, as amended (the "Securities Act").  The initial purchasers will offer the Notes only to Qualified Institutional Buyers as permitted under Rule 144A under the Securities Act, or outside the United States to certain persons in reliance on Regulation S under the Securities Act.  The Notes have not been registered under the Securities Act and may not be sold in the United States absent registration or an exemption from the registration requirements of the Securities Act.
