Bad Oeynhausen / Berlin, 10 November 2016 - The shareholders of CLERE AG have positively resolved all items on the agenda with great majority at yesterday's AGM. They have approved of the modification of the corporate purpose and the relocation of the company's headquarter to Berlin. Besides they have consented a shortened financial year within the 2nd half of 2016 so that from 2017 onwards the financial year corresponds to the calendar year.

The votes in detail are as follows:

TOP 2: Yes, with 99.36 % of the votes.

TOP 3: "Formal approval of the actions of the Executive Board"

a) Mr Oliver Oechsle: Yes, with 99.61 % of the votes.

b) Mr Thomas Krupke: Yes, with 99.70 % of the votes.

TOP 4: "Formal approval of the actions of the Supervisory Board"

a) Dr Thomas van Aubel: Yes, with 97.47 % of the votes.

b) Ms Frauke Vogler: Yes, with 99.62 % of the votes.

c) Mr Klaus Rueth: Yes, with 99.67 % of the votes.

TOP 5: Yes, with 99.67 % of the votes.

TOP 6: Yes, with 99.09 % of the votes.

TOP 7: Yes, with 99.36 % of the votes.

TOP 8: Yes, with 99.78 % of the votes.

TOP 9: Yes, with 92.20 % of the votes.

TOP 10: Yes, with 92.38 % of the votes.
