Bankrate, Inc. Announces Pricing of Senior Unsecured Notes Offering
NEW YORK, Aug. 2, 2013 /PRNewswire/ -- Bankrate, Inc. (NYSE: RATE; the "Company") today announced that it has agreed to sell $300 million of 6.125% senior unsecured notes due 2018 (the "New Notes") to investors at 98.938% of par value in a private offering. The New Notes will be guaranteed by all of the Company's domestic subsidiaries. The offering is expected to close on August 7, 2013.

The Company intends to use the net proceeds from the offering to redeem all of the Company's existing 11¾% Senior Secured Notes due 2015, $195 million of which are currently outstanding, in accordance with their terms, and to pay fees and expenses in connection with the offering and the redemption, with the balance to be used for general corporate purposes.
The offering is being made only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain non-U.S. persons in accordance with Regulation S under the Securities Act. The New Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold without registration unless an exemption from such registration is available.
