According to information via telephone from District Court Duisburg, Manfred Wagner, the former Supervisory Board chairman, was ordered to pay indemnity costs amounting to EUR 1,513,963.31, plus interest rates amounting to 5% above the basic interest rate since December 17, 2002 or January 2, 2003, to EASY SOFTWARE AG. According to the General Meeting's decision of August 23, 2013 on agenda item 11, the special representative appointed by the General Meeting on July 26, 2012, on behalf of the company, sued Manfred Wagner for indemnities; after withdrawal of the representative, the Management Board continued the legal proceedings. The court order refers to payout of the company's purchase price claims from selling a holding in the ScanOptic Gesellschaft für Scanner- und optische Speichertechnologie mbH to Manfred Wagner, as well as paying back a loan granted to EASY SOFTWARE (UK) PLC by Manfred Wagner and RS Consulting GmbH through EASY SOFTWARE AG. The verdict is not yet effective.

Other legal proceedings for indemnities have not yet been concluded.
