TOM TAILOR Holding SE: Negotiations between syndicate banks and Fosun are ongoing - Publication of final Group figures 2018 and Q1 2019 still pending

Hamburg, 13 May 2019. As already stated in the joint reasoned statement of Management Board and Supervisory Board of TOM TAILOR Holding SE pursuant to Section 27 of the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz, WpÜG) as of 18 April 2019, the TOM TAILOR Group is holding ongoing negotiations with the syndicate banks on their approval to the sale of BONITA, about the adaption of the financial covenants under the syndicated loan agreement, as well as a financial contribution by Fosun. So far the syndicate banks and Fosun have not reached an agreement on the type and amount of the financial contribution. To support the negotiations, TOM TAILOR Holding SE - in agreement with the syndicate banks and Fosun - also instructed the preparation of a so called Independent Business Review (IBR). According to estimations of the Management Board, it is therefore currently unclear whether and when the negotiations with the syndicate banks and Fosun will be successfully concluded.

Against the background of these negotiations, the Management Board cannot make a reliable statement as to when the final annual financial statements for 2018 and the Q1 2019 figures can be published.
