EVRY ASA - THE OFFER PERIOD FOR THE RECOMMENDED VOLUNTARY OFFER MADE BY LYNGEN BIDCO AS HAS COMMENCED

Oslo, 17 December 2014 - With reference to the voluntary offer for the outstanding shares of EVRY ASA ("EVRY") as announced on 8 December 2014 (the "Offer") and the approval of the offer document for the Offer by Oslo Børs as announced on 16 December 2014 (the "Offer Document"), Lyngen Bidco AS, a company indirectly controlled by private equity funds advised by Apax Partners LLP today announces the commencement of the offer period for the Offer.

• The offer period started today, Wednesday 17 December 2014, and ends on Wednesday 28 January 2015 at 09:00 CET, unless extended in accordance with the terms set forth in the Offer Document.
  
  
• The Offer Document will be sent by regular post to all registered shareholders of EVRY as of 16 December 2014 and is also available on DNB Markets' web site: www.dnb.no/emisjoner/.

As announced on 8 December 2014, the board of EVRY has unanimously recommended that shareholders accept the Offer. A cash consideration of NOK 16.00 is offered per share, valuing the total share capital of EVRY at approximately NOK 4.3 billion. Shareholders representing approximately 73.85 percent of the shares have undertaken to accept the Offer, subject to certain conditions.
