Herbalife Meets NYSE Board Independence Standards Nine Months Early

Herbalife Ltd. (NYSE:HLF) today announced an early moveto compliance with NYSE standards of board independence with theappointment of two new independent directors following theresignations of directors James Fordyce and Ken Diekroeger. Fordycehas represented Whitney & Co. and Diekroeger has represented GoldenGate Capital on the board since the company was taken private in July2002.

"Full compliance with NYSE independence standards is not requireduntil December 2006, however, early compliance is consistent with thebest principles of good corporate governance," said Herbalife Chairmanof the Board Peter Castleman, president of Whitney & Co., LLC.

Director Charles Orr also announced his intention not to stand forre-election to the Board when his current term expires at thecompany's April 2006 annual shareholders meeting.

"On behalf of the Herbalife Board of Directors, I want to thankJim Fordyce, Ken Diekroeger and Charlie Orr for their outstandingservice," said Castleman. "Their contributions during the last fouryears have helped us build a solid foundation for Herbalife as anNYSE-listed public company."

David D. Halbert and Valeria Rico have been appointed to theboard, which increases the number of independent directors on thecompany's board to a total of six out of eleven. This, together withthe company's move to fully independent Compensation and Nominatingand Corporate Governance committees brings Herbalife into compliancewith NYSE-mandated standards of board independence nine months priorto the requirement.

David D. Halbert is founder and chairman of Caris, Ltd., aprivately-held investment partnership, a position he has held sinceits inception in 2004. Prior to joining Caris, Ltd., Halbert waschairman, president and chief executive officer of AdvancePCS, anindependent health improvement company that he founded in 1987. Priorto founding AdvancePCS, Halbert founded Halbert & Associates Inc., aninvestment company that formed and financed projects and companies inthe banking, real estate, energy, and health care fields. Halbertcurrently serves on the board of Pathology Partners, Inc. He graduatedfrom Abilene Christian University in 1978 with a bachelor's degree inbusiness administration.

Valeria Rico is president and chief executive officer of LexiconMarketing USA, Inc., a privately-held direct marketer ofEnglish-language learning programs to the U.S. Hispanic community.From 1995 to 2004, Rico served as Lexicon's chief operating officer,and in 2004 she was appointed to her current position. Prior to that,she was director of marketing and sales at Elico, Inc. Rico receivedher degree in law from the Universidad Complutense de Madrid, Spain.
