Ontex: Transparency Declaration Notification

Ontex Group NV ("Ontex”) discloses the notifications of significant shareholdings that it has received according to the Belgian Law of 2 May 2007 on the disclosure of significant shareholdings in listed companies.

On 10 March 2015, BlackRock, Inc., and its affiliated entities, notified Ontex that it had acquired 3,329,154 shares in Ontex and so had crossed the threshold of 3% of the total number of voting rights in Ontex to 4.89%.

On 12 March 2015, Allianz Global Investors GmbH notified Ontex that it had acquired 3,876,537 shares in Ontex and so had crossed the threshold of 5% of the total number of voting rights in Ontex to 5.70%.

On 12 March 2015, Groupe Bruxelles Lambert SA, and its affiliated entities, notified Ontex that it had acquired 5,028,182 shares in Ontex and so had crossed the threshold of 5% of the total number of voting rights in Ontex to 7.39%.

According to its obligation Ontex publishes the content of the notifications that it has received.

BlackRock, Inc. is the ultimate controller but the legal entities detailed in the section above are the discretionary Investment Managers who hold the shares and exercise the voting rights.

Allianz Global Investors GmbH is a German investment management company. Its core business is the establishment and portfolio management of investment funds domiciled in Germany, Luxembourg, France, Italy, UK and Ireland. Allianz Global Investors GmbH is entitled to execute the voting rights by proxy (since the foundation of the funds). Additionally, Allianz Global Investors GmbH is mandated in several cases to manage individual asset portfolios for clients on a contractual basis (incl. fund mandates, under which Allianz Global Investors GmbH is the portfolio manager of funds established by other investment companies); under such contracts Allianz Global Investors GmbH is entitled to execute the voting rights of shares held in such asset portfolios. Allianz SE and all other holding companies between Allianz SE and Allianz Global Investors GmbH have been allowed to disaggregate their holdings of their subsidiary, Allianz Global Investors GmbH, in accordance with art. 11, § 2 of the law of 2 May 2007 and art. 21 of the royal decree of 14 February 2008. Allianz Global Investors GmbH can exercise the voting rights at its discretion in the absence of specific instructions.

Other Remarks:

Groupe Bruxelles Lambert S.A. is a company which is co-controlled by Albert Frère and the Trust familial Desmarais, and which held 5,028,128 Ontex shares (7.39% of its capital) on 10 March 2015.

On 6 March 2015, Swilux (1, rue de Namur, L-2211 Luxembourg), a company controlled by Albert Frère, had acquired 5.76% of Ontex (3,921,568 shares) and 1.44% of Groupe Bruxelles Lambert SA (980,392 shares).

On 10 March 2015, Groupe Bruxelles Lambert S.A. had crossed the 5% threshold in Ontex, following acquisitions in the market, and from Swilux, which consequently no longer held Ontex shares on that date.
