Moody's: Neuberger Berman CLO XII, Ltd. Ratings Unaffected by Third Supplemental Indenture

New York, July 22, 2016 -- Moody's Investors Service has determined that entry by Neuberger Berman CLO XII, Ltd. (the "Issuer") into a third supplemental indenture, effective as of July 25, 2016, to the indenture dated as of August 16, 2012 (as amended as of July 25, 2014 and as of October 15, 2014) among the Issuer, Neuberger Berman CLO XII, LLC as Co-Issuer and U.S. Bank National Association as Trustee (the "Third Supplemental Indenture"), and performance of the activities contemplated therein. will not in and of themselves and at this time cause the immediate withdrawal or reduction by Moody's of its current rating of the Class A Notes issued by the Issuer. Moody's does not express an opinion as to whether the Third Supplemental Indenture could have non-credit-related effects.
