AuthentiDate International AG Announces Agreement with Circle Software

    SCHENECTADY, N.Y.--(BUSINESS WIRE)--Jan. 19, 2005--AuthentiDate International AG, a subsidiary of AuthentiDate Holding Corp. (NASDAQ: ADAT), announced today that it has signed an agreement with Circle Software Group, one of Holland's leading document management software manufacturers. Under the agreement Circle Software integrated AuthentiDate's signature software into its document management software. Circle Software will make the software available to its clients.
    The software will be capable of processing signed documents and automatically checking signatures. In addition, data stored in Circle Software's document management software can automatically be joined with time stamps that meet the requirements of the European Union (EU) Signature Directive and the German Signature Act.
    While financial terms weren't disclosed, AuthentiDate will generate revenue through up front licensing fees and recurring maintenance fees, as well as one time fees from Circle Software clients who chose to activate the software. The agreement is the first agreement outside of Germany for AuthentiDate International AG.
