Cancellation of conditional, voluntary offer to acquire all outstanding shares of Nordjyske Bank

On 6 April 2018, Jyske Bank submitted a conditional, voluntary offer to acquire all outstanding shares of Nordjyske Bank ("the Offer"). According to section 7.5, item 5 of the published offer document it is a condition for the implementation of the Offer that Nordjyske Bank does not, prior to its execution, decide to enter into a merger.

At today's general meeting of Nordjyske Bank it was resolved to implement a merger between Nordjyske Bank and Ringkjøbing Landbobank.

On this background, the Offer has been cancelled and abandoned and any pre-approval and acceptance of the Offer are hence without legal effect.
