EDS Announces the Repurchase of $400 Million of Its Shares Through an Accelerated Share Repurchase Plan

PLANO, Texas, Feb. 24 /PRNewswire-FirstCall/ -- EDS announced today that it has entered into an Accelerated Share Repurchase (ASR) agreement with Credit Suisse for the purchase of $400 million of its common stock as part of a $1 billion share repurchase plan recently authorized by the company's board of directors. The remaining $600 million authorized by the board may be used to repurchase shares in open market purchases or privately negotiated transactions over the next 18 months.

"The ASR agreement allows EDS to jump-start our share repurchase program," said EDS Chairman and CEO Mike Jordan. "It also sends a strong message that we are committed to our repurchase initiative and returning value to our shareholders."

Under the ASR agreement, the company repurchased more than 15 million shares of EDS common stock from Credit Suisse at a price per share of $26.61 Credit Suisse plans to purchase an equivalent number of shares over time in the open market, and EDS may receive or be required to remit a price adjustment based upon the volume weighted average price of EDS common shares during that time.
