Ingram Micro Receives Wells Notice on Previously Disclosed Inquiry

SANTA ANA, Calif., May 21 /PRNewswire-FirstCall/ -- Ingram Micro Inc. , the world's largest technology distributor, today announced that it has received a "Wells Notice" from the staff of the United States Securities and Exchange Commission (the "SEC") related to a previously disclosed informal inquiry regarding McAfee, Inc. (formerly Network Associates Inc.).

The notice indicates that the staff intends to recommend that the SEC institute an administrative proceeding contending that Ingram Micro failed to maintain adequate books and records relating to certain of its transactions with McAfee, and was a cause of McAfee's securities-laws violations relating to the filing of reports and maintenance of books and records. The company believes the administrative proceeding would relate to certain transactions with McAfee during 1998 through 2000. Under the process established by the SEC, the company has the opportunity to respond in writing to the Wells Notice before the staff makes its formal recommendation to the SEC.

The company first disclosed an informal inquiry from the SEC relating to McAfee during the third quarter of 2004. On January 4, 2006, McAfee and the SEC made public the terms of a settlement they had reached.

The company continues to cooperate fully with the SEC in its inquiry, and intends to respond thoroughly to the Wells Notice. The company has engaged in discussions with the SEC toward a possible resolution of matters concerning these McAfee-related transactions. The company cannot predict with certainty the outcome or timing of these discussions. The company believes, however, that resolution of this matter with the SEC will not have a material adverse impact to the company's financial condition, but may have a material impact on the results of operations or cash flows for the quarter in which the matter is resolved.
