Nokia To Hold 91% In Share Capital Of Alcatel-Lucent After Offer Settlement
(RTTNews) - Finnish network equipment maker Nokia Corp. (NOK) Wednesday announced that it will hold 91.25% of the share capital and at least 91.17% of the voting rights of French telecom equipment maker Alcatel-Lucent (ALU) following settlement of the reopened offer, which is expected to occur on February 12.
In total, Nokia will hold 88.07% of the share capital on a fully diluted basis.
Nokia said the French stock market authority, Autorité des Marchés Financiers or AMF published the results of the reopened offer period of Nokia's public exchange offer for Alcatel-Lucent securities in France and in the United States.
Among others, 426.7 million Alcatel-Lucent ordinary shares, and 52.3 million American depositary shares have been tendered into the reopened offer in France and/or in the U.S.
As previously announced, the Alcatel-Lucent ADS program will be terminated following the settlement of the reopened offer, on February 24. Nokia intends to cause Alcatel-Lucent to delist Alcatel-Lucent's ADSs from the New York Stock Exchange and, subject to applicable law, deregister Alcatel-Lucent's ADSs under U.S. securities laws.
Based on the results of the offer, Nokia will issue 320.70 million new shares as consideration for the Alcatel-Lucent Securities tendered into the reopened offer.
Earlier in mid-April 2015, Nokia has agreed to make an offer for all of the equity securities issued by Alcatel-Lucent, through a public exchange offer in France and in the U.S.
In Helsinki, Nokia shares were gaining 2.38 percent to trade at 5.37 euros.
In pre-market activity on the NYSE, Nokia shares were gaining 2.72 percent at $6.04.
