PagesJaunes Groupe: Jean-Pierre Remy Succeeds Jacques Garaïalde as Chairman of the Board of Directors and Becomes President and Chief Executive Officer

Médiannuaire Holding SA ("MDH"), PagesJaunes Groupe’s (Paris: PAJ) controlling shareholder through its subsidiary Médiannuaire, announced, on December 12, 2012, the conclusion of an agreement in principle between MDH and the Working group formed by some of its lenders on the terms of the debt restructuring of MDH. During this operation, the share of the capital of PagesJaunes Groupe owned by MDH would be reduced to about 19%.

In this context, during the meeting of the Board of Directors of PagesJaunes Groupe which was held on December 11, 2012, Jacques Garaïalde, one of the representatives of MDH on the Board of Directors, wanted, given the very significant drop of MDH's holdings in the capital of PagesJaunes Groupe, to renounce his functions as Chairman of the Board of Directors stating nevertheless that he was fully prepared to pursue his appointment as Director, in a logic of accompaniment and transition.

The Board of Directors noted this decision and thanked Jacques Garaïalde for his accomplishments as Chairman of the Board of Directors.

Jean-Pierre Remy, current CEO of PagesJaunes Group, was named Chairman of the Board of Directors, replacing Jacques Garaïalde. He became President and CEO of PagesJaunes Groupe.

Following the recommendations of its Appointments and Remuneration Committee, the Board of Directors also decided to appoint François de Carbonnel, independent Director, as lead Director. His specific mission will be to assist the President and Chief Executive Officer, at his request, in his strategic and financial discussions with major shareholders and creditors of the group, run sessions without the President and Chief Executive Officer at the end of certain meetings of the Board of Directors and conduct the annual assessment of the President and Chief Executive Officer.
