Publicis Completes Acquisition Of Sapient - Quick Facts

(RTTNews) - Publicis Groupe S.A. (PGPEF.PK, PUBGY.PK) announced the completion of its acquisition of Sapient Corp. (SAPE) for total consideration of approximately $3.7 billion.

The tender offer for all of the outstanding shares of Sapient common stock has expired. A total of 121,954,854 shares of Sapient common stock, excluding Sapient shares tendered by notice of guaranteed delivery for which certificates were not yet delivered, representing approximately 86.5% of Sapient's outstanding shares, were validly tendered into and not withdrawn from the tender offer. As a result of the completed merger, Sapient became an indirect, wholly owned subsidiary of Publicis.

In connection with the merger, all Sapient shares not validly tendered into the tender offer have been cancelled and converted into the right to receive the same $25.00 per share, as is to be paid for all shares that were validly tendered and not withdrawn in the tender offer. Sapient shares will cease to be traded on NASDAQ.
