TD AMERITRADE Elects Three New Board Members

TD AMERITRADE Holding Corporation (NASDAQ:AMTD) today welcomes three new members to its board of directors. Mark L. Mitchell, Allan R. Tessler and William H. Hatanaka were unanimously elected at a special board meeting held on Friday, Nov. 3, 2006. Mitchell and Tessler, who are outside independent directors, replace Michael D. Fleisher and Glenn H. Hutchins, respectively, who have stepped off of the board to focus on other professional commitments. Hatanaka’s election fills the seat vacated by TD-appointed director Daniel A. Marinangeli, whose resignation was announced last week. Mitchell previously served on the Ameritrade board of directors from December 1996 to January 2006 and is the co-founder and principal at CNH Partners, LLC. He has served as a finance professor at Harvard Business School and the University of Chicago and as a senior financial economist for the United States Securities and Exchange Commission. He has his B.B.A. in economics from the University of Louisiana, as well as an M.A. in economics and a Ph.D. in applied economics from Clemson University. Tessler is the chairman of Epoch Investment Partners, Inc., and the chairman of the board and chief executive officer of International Financial Group, Inc. Previously, he served as co-chief executive officer of Data Broadcasting Corporation, now known as Interactive Data Corporation; chairman of Enhance Financial Services Group, Inc., which he also co-founded; and in a number of positions in the legal and investment banking fields. He currently serves as the lead director and chairman of the finance committee of The Limited, Inc., the vice chairman of the board of the Hudson Institute and a member of the board of governors of the Boys & Girls Clubs of America. Tessler has his B.A. from Cornell University and his L.L.B. from Cornell University Law School. The entire TD AMERITRADE board offered its deep gratitude to the departing directors for their many contributions to the success of the Company. Fleisher and Hutchins have served on the board since the Company’s 2002 acquisition of Datek Online Holdings Corp., and the shareholders who nominated them to serve on the board at the time of the acquisition no longer hold a financial interest in TD AMERITRADE. Director Robert Slezak has assumed Fleisher’s duties on the board’s audit committee. Mitchell has been elected to the following committees: HR & compensation, outside independent directors and non-TD directors. Tessler will serve on the following committees: corporate governance, outside independent directors and non-TD directors.
