The Shuman Law Firm Announces Investigation on Behalf of Smith International, Inc. Shareholders
The Shuman Law Firm today announced that it is investigating potential breaches of fiduciary duty and other violations of state law on behalf of shareholders of Smith International, Inc. ("Smith” or the "Company”) (NYSE: SII) in connection with the proposed merger with Schlumberger Limited ("Schlumberger”).
Under the terms of the transaction, Smith shareholders will receive 0.6966 shares of Schlumberger in exchange for each Smith share they hold. At closing and after new shares are issued, Smith stockholders will own about 12.8 percent of Schlumberger’s outstanding shares of common stock. The Boards’ of Directors of both Smith and Schlumberger unanimously approved the merger.
The investigation concerns whether the merger, including the proposed exchange ratio, is fair and in the best interests of Smith shareholders.
