New York, May 23, 2014 -- Moody's Investors Service (Moody's) was informed that a wholly owned affiliate of Rouse Properties L.P., RPI Bel Air Mall LLC (New Borrower), will acquire and assume the existing mortgage loan from an entity owned and controlled by Gregory Greenfield & Associates Ltd. and Prime Group. Additionally, this transaction entails a change in property management firms from Jones Lang LaSalle to New Borrower. Finally, Rouse Properties L.P. will be named the new indemnitor under the Environmental Indemnity and the Ground Lease Estoppel and the new guarantor under the Guarantees, replacing Gregory Greenfield & Associates Ltd., Prime GGA Holdings LLC, PFP Holding Company II, LLC, Prime Finance Partners II, LP, Prime Finance Partners II (Parallel Entity) Inc. and GGA Prime Partners, LLC.
