Joseph Jimenez to Leave Heinz

Effective May 4, 2006, Mr. Jimenez's responsibilities will beassumed by Christopher Warmoth, Senior Vice President for Heinz Asiaand Michael D. Milone, Senior Vice President Pacific and Rest ofWorld, both of whom will report to William R. Johnson, Heinz Chairman,President and CEO.
